1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and LOGIT ("LOGIT", "we", "us", "our"), which operates the LOGIT application and website (the "Service"). By accessing or using the Service, creating an account, or purchasing a subscription or product, you agree to these Terms and to our Privacy Policy and Risk Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service. You must be at least 18 years old and able to form a binding contract to use the Service.

2. Description of Service

LOGIT is an AI-assisted trading journal and analytics tool. It lets you log trades, generate AI audits and notes, view analytics, and — on certain paid tiers — view content published by the Service's creator ("Creator Content"), including the creator's own trades and audits. The Service is an informational and record-keeping tool only.

3. Not Financial, Investment, or Trading Advice

LOGIT is not a broker-dealer, investment adviser, financial planner, or fiduciary, and provides no personalized financial, investment, tax, or legal advice. Nothing in the Service — including trade data, analytics, AI-generated content, or Creator Content — is a recommendation, solicitation, or offer to buy or sell any financial instrument, or advice that any strategy is suitable for you. You are solely responsible for your own decisions and for evaluating the merits and risks of any transaction.

4. Trading Risk

Trading and investing — including forex, CFDs, futures, options, and other leveraged products — involve substantial risk of loss and are not suitable for everyone. You can lose some or all of your capital. Please read our full Risk Disclaimer. By using the Service you acknowledge that you understand and accept these risks and that you trade entirely at your own risk.

5. Creator Content & "Inside"

Paid "Inside" access and related surfaces may display the Creator's own trades, entries, exits, management, and audits in or near real time. This content is provided for educational and informational purposes only. It is not a signal service, copy-trading service, or recommendation, and you should not mirror or copy any trade. The Creator's results are their own and are not a prediction or guarantee of your results. Creator Content may be delayed, incomplete, or contain errors, and is provided without any warranty.

6. AI-Generated Content

The Service uses third-party AI providers (e.g., Anthropic) to generate audits, summaries, and notes from the data you provide. AI output may be inaccurate, incomplete, or misleading, is provided "as is" for informational purposes only, and is not professional advice. You are responsible for reviewing and verifying any AI output before relying on it.

7. No Performance Guarantees; Testimonials

We make no guarantee of any financial result, profit, or performance. Past performance — including the Creator's — is not indicative of future results. Any testimonials, examples, or results shown are individual experiences, are not typical, and should not be understood as a promise that you will achieve similar results. Your results depend on many factors outside our control.

8. Accounts & Security

You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials and all activity under your account. Notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to safeguard your account.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any law or regulation;
• Provide regulated investment advice or financial services to others using the Service;
• Attempt to access other users' data, or probe, scan, or breach security;
• Reverse engineer, scrape, resell, or redistribute the Service or Creator Content;
• Republish, share, or resell Inside/Creator Content outside your personal use;
• Abuse or circumvent usage limits, plan gating, or rate limits (including via multiple accounts);
• Interfere with or disrupt the Service or its infrastructure.

10. Subscriptions, Billing & Auto-Renewal

The Service offers paid subscriptions (Pro and Inside), billed monthly or annually through our third-party payment processor (Stripe). New accounts receive a free trial period (currently the 14-Day Challenge) with no payment method required; after the trial ends, a paid subscription is required to continue using the full Service, unless a free tier is offered at that time. Paid subscriptions renew automatically at the then-current price each period until cancelled. You authorize us (via Stripe) to charge your payment method on each renewal. Prices may change with notice; changes apply to the next billing cycle.

11. One-Time Purchases

We may offer one-time products, including a "Founding Lifetime" purchase (Pro access for the lifetime of the Service) and a short-term "Inside Pass." One-time purchases are not subscriptions and do not auto-renew. "Lifetime" means the operational lifetime of the Service and does not guarantee perpetual availability if the Service is discontinued. The Inside Pass grants time-limited access that expires automatically.

12. Refunds & Cancellation

You may cancel a subscription at any time; access continues through the end of the paid period, after which it will not renew. Except where required by law, payments are non-refundable, including partial periods and one-time purchases. Any discretionary refund terms in effect at the time of purchase are disclosed at checkout. We may offer refunds at our sole discretion.

13. Your Data & Ownership

You retain ownership of the content and data you submit. You grant us a limited license to host, process, and display it solely to operate the Service (including sending it to infrastructure and AI providers as described in the Privacy Policy). We do not sell your personal data. You are responsible for keeping your own backups; export tools are provided.

14. Intellectual Property

The Service, its software, design, branding, and all Creator Content are owned by LOGIT or its licensors and are protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your personal use, subject to these Terms. No other rights are granted.

15. Third-Party Services

The Service relies on third parties (including Supabase, Stripe, Anthropic, Vercel, and analytics/notification providers). Your use may be subject to their terms, and we are not responsible for their acts, omissions, or availability.

16. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content (including AI output or analytics) will be accurate or reliable.

17. Limitation of Liability

To the maximum extent permitted by law, LOGIT and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or any trading or investment losses, arising from or related to your use of the Service, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for any claim will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the claim, or (b) USD $100.

18. Indemnification

You agree to indemnify, defend, and hold harmless LOGIT and its owners, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your trading or financial decisions, your content, or your violation of these Terms or any law or third-party right.

19. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and IP) survive.

20. Governing Law & Disputes

These Terms are governed by the laws of the United States, without regard to conflict-of-laws rules. The exclusive venue for disputes is the courts located in the United States, and you consent to their jurisdiction.

21. Changes to Terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
